End User Licence Agreement — Skyrsoft CertOps
Effective 15 October 2026
Version 1.4 — effective 15 October 2026.
Licensor: Skyrsoft Pty Ltd (ABN 66 701 451 578), Australia (“Skyrsoft”, “we”, “us”).
Licensee: the individual or entity that accepts this Agreement or installs, accesses or uses the Product (“you”).
This Agreement governs your use of Skyrsoft CertOps (the “Product”), as further described in the Schedule below. Other Skyrsoft products are licensed under their own agreements — see all licence agreements.
1. Definitions and interpretation
(a) Definitions. In this Agreement:
- Agreement means this document and its Schedule, as amended under clause 11.
- Product means Skyrsoft CertOps, as described in the Schedule, including any updates we provide.
- Edition means the Free and Pro edition of the Product (or any successor edition names we adopt), each with the feature set and limits published on our pricing page from time to time.
- Non-Excludable Rights means a consumer guarantee, right or remedy under the Competition and Consumer Act 2010 (Cth) or other applicable law that cannot lawfully be excluded, restricted or modified.
- Licence Terms means the certificate, deployment-target, device, certificate-authority and feature limits applicable to your Edition. For a paid subscription, your Licence Terms are as stated in your order confirmation, licence key or subscription record for the relevant term, and prevail over any inconsistent information published on our pricing page. For the Free Edition, your Licence Terms are as published on our pricing page from time to time.
- Documentation means our published help and documentation for the Product.
(b) Interpretation. Headings are for convenience only. The singular includes the plural and vice versa. “Includes” is not a word of limitation. A reference to a statute includes that statute as amended, re-enacted or replaced.
2. Acceptance
(a) This Agreement applies whether you use the Free Edition or a paid Pro subscription.
(b) You accept this Agreement, and it takes effect, on whichever happens first:
- selecting “Accept” during installation or setup;
- purchasing a Pro subscription; or
- downloading, installing or using the Product.
(c) If you do not agree to these terms, do not download, install or use the Product.
(d) You may accept on behalf of an organisation, in which case “you” includes that organisation, and you confirm you have authority to bind it.
(e) Purchases. Paid subscriptions bought through our website are sold by Paddle, our authorised reseller and Merchant of Record. The Paddle entity you contract with is identified in Paddle's Buyer Terms, which govern the purchase transaction. For those purchases, Paddle is responsible for the purchase transaction, payment processing, invoicing, applicable transaction taxes, subscription billing and the processing of refunds. Paid subscriptions bought through another reseller Skyrsoft has authorised are governed, as to purchase, payment, invoicing, taxes, renewal, cancellation and refunds, by your agreement with that reseller. However you bought, Skyrsoft is the licensor of the Product and is responsible for the Product, its licensing, product support and the operation of its licensing service, and this Agreement governs your use of the Product. No reseller may vary this Agreement, or give any warranty, commitment or product claim on Skyrsoft's behalf beyond those Skyrsoft has expressly authorised.
3. Licence grant
(a) Subject to this Agreement and to your Licence Terms, Skyrsoft grants you a non-exclusive, non-transferable licence to install and use the Product, and to connect to it the number of managed devices, agents, certificates, deployment targets, certificate authorities and other resources permitted by your Edition. This licence may be suspended or terminated only as expressly provided in this Agreement.
(b) Unlike single-seat desktop software, the Product is server software, licensed per installation, that is expected to serve many client machines and agents over your network. An “installation” for this purpose means one deployment of the Product, activated with one licence key, together with reasonable backup copies of it. Nothing in this Agreement restricts running the Product on a server that is accessed by multiple users or multiple machines — that is the intended and licensed use. What is licensed by count is set out in your Licence Terms, not the number of computers the Product itself runs on.
(c) This Agreement does not limit any right you have under applicable law to make a backup copy, to achieve interoperability, to correct errors, or to test security — including under sections 47B to 47H of the Copyright Act 1968 (Cth), or an equivalent law in your jurisdiction. Those rights apply in addition to, and are not narrowed by, clause 4.
(d) Your own employees, contractors and consultants may access and use the Product on your behalf and for your benefit — this is not a transfer, sublicence or third-party use restricted by clause 4(a)(v), provided they are bound by confidentiality and use obligations at least as protective as this Agreement.
4. Limitations
(a) Limitations on use. You must not:
- use the Product beyond the certificate, deployment-target, device, certificate-authority and feature limits of your Edition;
- circumvent, disable or tamper with licence validation, unit counting, or the periodic licence check described in clause 8;
- decompile, reverse engineer or disassemble the Product, except to the extent this restriction is unenforceable under applicable law, including the rights preserved by clause 3(c);
- remove or obscure any proprietary notice on the Product; or
- resell, sublicense, rent or lease the Product to a third party as a standalone offering, other than through a reseller or managed-service arrangement we have separately authorised in writing.
(b) Limitations on transfer. You may not assign this Agreement or your rights under it without our prior written consent, except to a successor of your entire business by merger, acquisition or sale of assets, provided the successor agrees to this Agreement.
(c) Limitations on derived works. You may not copy the Product except as permitted by clause 3, create an unauthorised derivative work of its code, or use Skyrsoft’s confidential information to develop a competing product. This does not limit your use of the Product’s own REST API, SCEP/EST endpoints, or exported certificates and keys for your own systems, which is an intended use of the Product.
5. Ownership
Skyrsoft retains all right, title and interest, including all intellectual property rights, in the Product and Documentation, and all copies of them. This Agreement does not transfer any ownership interest — it grants only the licence described in clause 3.
6. Third-party components
The Product incorporates open-source and other third-party software components, listed with their licences in THIRD-PARTY-NOTICES.txt, published with the Product. Third-party licence terms apply solely to the relevant third-party component; nothing in this Agreement restricts a right granted to you under those terms. To the extent of an inconsistency between this Agreement and a third-party licence concerning that component, the third-party licence controls for that component.
7. Confidentiality
(a) Any non-public technical documentation, private support materials, restricted plugins, or customer-specific build we provide you are Skyrsoft’s confidential information. You will take reasonable care to protect it from unauthorised disclosure, to the same standard you use for your own confidential information of similar sensitivity, and you will ensure anyone given access to it under clause 3(d) is bound to the same standard.
(b) For clarity, this clause does not extend to the standard, publicly-distributed executable form of the Product itself (as opposed to the materials in clause 7(a)) — that is governed by the licence and copyright terms of clauses 3–5, not by a confidentiality obligation.
(c) If you provide Skyrsoft with logs, screenshots, database extracts, configuration information or other materials in connection with support, Skyrsoft will protect that information to the same standard described in clause 7(a), and use it only for purposes directly connected with your support request, the investigation of the issue, and related legal or security obligations.
(d) This clause does not apply to information that is or becomes public other than through a breach of it, or that a party is required to disclose by law (in which case that party will, where lawfully able to, give the other prior notice).
8. Licence validation, offline operation and renewal
(a) What validation does. The Product periodically validates your Edition and Licence Terms against our licensing service (“call-home”). A paid Edition takes effect on an installation once the Product has activated it by successfully reaching our licensing service; until then the installation operates at Free Edition capability. Activation needs outbound access only. Full detail of this mechanism is published in our Documentation. You must not interfere with this process. This clause does not require the Product to send us the certificates, private keys, and credentials it manages, or the configuration of the systems you manage — see clause 9.
(b) Being offline does not revoke an activated licence. If the Product cannot reach our licensing service after your licence has been activated, your licence is not suspended, reduced or revoked. The Product continues to operate under your current Edition and Licence Terms for the remainder of your licensed term and for a 30-day grace period after that term ends. This is deliberate: once activated, air-gapped and network-restricted deployments are expected to keep working without reaching us.
(c) Renewal needs one successful validation. When you renew a Pro subscription, the renewed term is applied to your installation once the Product has successfully reached our licensing service. Until that happens the installation continues on its existing term; if that term and its 30-day grace period run out first, the Product reverts to Free Edition capability under clause 14(b) until validation next succeeds. There is no offline reactivation mechanism: an installation that can never reach our licensing service cannot have a renewal applied to it, and will run at Free Edition capability once its term and grace period have ended. An installation that has never reached our licensing service cannot be activated, and runs at Free Edition capability from the start. If that is your situation, resolve it before you subscribe rather than after.
9. Self-hosted architecture; data handling
(a) The Product is self-hosted: it runs on infrastructure you control, and the certificates, private keys, and credentials it manages are generated, stored and encrypted on your own infrastructure. Installing the Product does not give Skyrsoft general access to your environment, and the Product does not transmit that material to Skyrsoft during ordinary licence validation.
(b) In ordinary operation, the Product transmits to Skyrsoft only what licence validation under clause 8 requires: on each periodic check, a product identifier, a licence and site identifier, this installation’s instance identifier, an activation identifier and a single-use nonce; and on activation (when a licence key is applied), the licence key itself, which carries the licensee name and email address it was issued to, together with the installation’s hostname, operating system version and the Product’s own application version. Like any network request, this necessarily discloses the sending server’s IP address to Skyrsoft’s licensing service. Ordinary licence validation does not transmit managed certificates, private keys, credentials, the configuration of the systems you manage, managed-unit counts, diagnostic logs or error information. Further detail is in our Privacy Policy, which is a notice about our data practices rather than a term of this Agreement — updating it does not vary this Agreement.
(c) You are solely responsible for securing, backing up and maintaining your own installation, database, and key material. Skyrsoft is not responsible for loss of data or key material arising from your own infrastructure, backup practices, or administration of the Product.
10. Warranties and exclusions
(a) Nothing in this Agreement excludes, restricts or modifies any Non-Excludable Right.
(b) To the extent permitted by law, where Skyrsoft may limit its liability for breach of a Non-Excludable Right, that liability is limited:
- for goods, to replacement of the goods, supply of equivalent goods, repair, or the cost of any of those; and
- for services, to supplying the services again, or the cost of doing so,
except where imposing that limitation would not be fair and reasonable, or is otherwise prohibited by law.
(c) Except for Non-Excludable Rights, and unless we have agreed otherwise with you in writing, the Product is provided “as is” and we exclude all other warranties, conditions and representations of any kind.
11. Variation of terms
(a) Locked entitlements. The Licence Terms stated in your order confirmation, licence key or subscription record apply for the relevant paid term and prevail over inconsistent information on our pricing page. Skyrsoft will not materially reduce your paid entitlements during that term. A change to published Licence Terms applies prospectively at your next renewal if disclosed to you before that renewal. For the Free Edition, Skyrsoft may change published limits prospectively, and will give reasonable notice of a material reduction where practicable.
(b) This Agreement is versioned with the Product. Each release of the Product is accompanied by the version of this Agreement current as at that release. Where a new release carries no material change to this Agreement, installing or upgrading to it is an acceptance event under clause 2(b) for that version, as before. Where a new release’s accompanying Agreement differs materially from the version you last accepted, that materially different version binds you only once you take an affirmative acceptance step for it (for example, clicking “Accept” when prompted) — merely making the release available, or your installing an automatic security update, is not by itself acceptance of materially different terms. Until you take that step, the installation continues to be governed by the version of this Agreement you last accepted for it. Renewing a Pro subscription does not, by itself, bind you to a later version of this Agreement.
(c) For reference, the version of this Agreement current for the latest release is published at www.skyrsoft.app/certops/legal/eula.
12. Limitation of liability
(a) Subject to clause 12(c), Skyrsoft, its directors, officers, employees and agents are not liable to you for loss that is indirect or consequential (including lost revenue or profits, to the extent that loss is indirect or consequential), however arising, including under contract, tort or statute. This clause does not exclude a direct loss merely because it also affects your revenue or profits.
(b) Subject to clause 12(c) and to clause 13(b) (which carries its own, separate cap), Skyrsoft’s total aggregate liability arising from or in connection with this Agreement or the Product, however arising, is limited to the greater of: (i) the fees paid by you for the Product, whether paid through Paddle or through an authorised reseller, during the 12 months immediately preceding the event giving rise to the claim; and (ii) AUD 100.
(c) Nothing in this clause 12 excludes or limits liability for: a Non-Excludable Right; fraud or wilful misconduct; death or personal injury caused by negligence, to the extent that liability cannot be excluded or limited by law; or any other liability that applicable law does not permit us to exclude or limit.
13. Indemnity
(a) You indemnify Skyrsoft against a third-party claim, and the reasonable costs and liabilities finally awarded against Skyrsoft or agreed in settlement, to the extent the claim is caused by:
- your unlawful use of the Product;
- your material breach of clause 3, 4 or 7;
- content, data or materials you supply; or
- an unauthorised modification of the Product you make,
except to the extent the claim was caused or contributed to by Skyrsoft, the unmodified Product, or Skyrsoft’s own breach, negligence or wilful misconduct. Skyrsoft will give you prompt notice of a claim, allow you reasonable control of its defence and settlement, and cooperate reasonably, at your expense. You must not settle a claim in a way that admits liability by, or imposes a non-monetary obligation on, Skyrsoft without Skyrsoft’s consent, not to be unreasonably withheld.
(b) Skyrsoft indemnifies and holds you harmless against a third-party claim that the unmodified Product infringes that third party’s intellectual property rights, provided you: (i) give us prompt written notice of the claim; (ii) let us control its defence and any settlement; and (iii) reasonably cooperate, at our expense. This indemnity does not apply to a claim that would not have arisen but for (iv) your modification of the Product, or (v) your combination of the Product with software, hardware or data we did not supply; nor to a claim arising from (vi) your continued use of a version of the Product after we offered a fix or replacement that would have avoided the claim and gave you a reasonable time to adopt it. If a claim under this clause arises, Skyrsoft may, at its own option and expense, procure your continued right to use the affected part of the Product, modify or replace it with a non-infringing equivalent, or terminate the licence to the affected part and arrange a refund of any unused pre-paid fees for it, through Paddle or through the authorised reseller you bought from. This is Skyrsoft’s sole obligation, and your sole remedy, for intellectual property infringement by the Product. Despite clause 12(b), Skyrsoft’s liability under this clause 13(b) is capped at the greater of: (i) twice the fees paid by you for the Product, whether paid through Paddle or through an authorised reseller, during the 12 months immediately preceding the claim; and (ii) AUD 100.
14. Term and termination
(a) Free Edition. Your licence to the Free Edition continues indefinitely, subject to this Agreement.
(b) Pro subscription — non-renewal is not termination. A Pro subscription remains fully in effect for its full paid term regardless of any period during which our licensing service was unreachable (see clause 8(b)). If it is not renewed, this Agreement continues, and the Product continues to run, but automatically reverts to Free Edition capability once that term and the 30-day grace period in clause 8(b) have run their course without renewal. The Product remains installed and operational at Free Edition capability, and does not prevent your access to systems you manage with it. You are not required to stop using or to delete the Product on non-renewal.
(c) Refunds. If the purchase or renewal charge for a paid term is refunded, the refund ends your contractual entitlement to the paid Edition for that term, as described in our Refund Policy or, for a purchase through an authorised reseller, as agreed with that reseller. An installation that can reach our licensing service will apply that change when it next successfully validates. An installation that remains offline may continue to reflect its existing paid entitlement until it next validates or until its existing paid term and the 30-day grace period expire. The Product then reverts to Free Edition capability, remains installed and operational at that level, and does not prevent your access to systems you manage with it.
(d) Your own right to end this Agreement. You may end this Agreement at any time by uninstalling the Product and ceasing to use it. If you hold a Pro subscription, ending this Agreement does not by itself cancel a recurring subscription — cancel that separately: through Paddle's customer portal for a subscription bought through our website, effective at the end of your current paid term, or with the authorised reseller you bought from, under your agreement with them.
(e) Termination for breach. We may terminate this Agreement immediately on notice if you materially breach it and do not remedy that breach within 14 days after we notify you of it (or immediately, for a breach that cannot be remedied, such as circumventing licence validation under clause 4(a)(ii)). On termination under this clause, your licence ends and you must stop using the Product and destroy any copies you hold. Clauses 5, 6, 7, 9, 10, 12 and 13 survive termination.
15. General provisions
(a) If a provision of this Agreement is void, illegal or unenforceable in a jurisdiction, it is ineffective in that jurisdiction only to that extent, and does not affect the rest of this Agreement or its enforceability elsewhere.
(b) A delay or failure to exercise a right under this Agreement is not a waiver of that right.
(c) Entire agreement. This Agreement, together with your Licence Terms, is the entire agreement between you and Skyrsoft regarding your licence to install and use the Product, and supersedes any prior understanding on that subject. It operates alongside, and does not displace, our Terms of Service, which govern our website and the general relationship between you and Skyrsoft, and whichever governs your purchase transaction: Paddle's Buyer Terms for a purchase through our website, or your agreement with the authorised reseller you bought from.
(d) Order of precedence. This Agreement governs the installation, licensing and technical use of the Product, including licence validation, warranties, liability and termination. Your order confirmation, licence key or subscription record governs your specific paid entitlements, quantities and pricing. Paddle's Buyer Terms govern the purchase, payment, billing and Merchant of Record transaction for a purchase through our website; your agreement with an authorised reseller governs the purchase, payment and billing for a purchase through that reseller. To the extent of an inconsistency: concerning the use of the Product, this Agreement prevails; concerning your specific paid entitlements, the order confirmation, licence key or subscription record prevails (see the definition of Licence Terms in clause 1).
(e) This Agreement is governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts. This clause does not displace a mandatory consumer-protection or other law of your own jurisdiction that applies despite a choice of governing law.
(f) You must comply with applicable export-control and sanctions laws in your use of the Product. Nothing in this clause restricts your use, installation or lawful onward dissemination of the Product beyond what is otherwise required by law and by this Agreement.
(g) Notices. A notice under this Agreement must be in writing. Notices to Skyrsoft go to legal@skyrsoft.app. Notices to you go to the email address associated with your account or order.
